We have been asked to give an example agency contract for a dive centre to give its agents and have decided to provide a sample one for your use, here it is and it uses Thailand as a sample dive centre location
CONFIDENTIAL SALES CONTRACT
Effective for bookings inside Thailand and outside Thailand destinations
(including Indonesia, Malaysia, & Singapore) from July 2011
1. Terms and Conditions
1.1. The rates and terms and all conditions in this agreement are confidential.
1.2. This agreement shall be valid for bookings effective from Julyl 2011 until further notice from the operator. The commission rate is
30% for all scheduled trips departing from Thailand on our dayboats, for both divers and non-divers. The commission rate is
20% commission on all scheduled trips outside of Thailand on our Dayboats and Liveaboard boats (except Singapore @ 15% commission)
Single Occupancy calculated 1.5x normal trip price
1.3. The commission of 30% (Thailand)/ 20% (outside Thailand, except Singapore @ 15%) for individual bookings will be deducted by the sales agent and payment of the nett price to be settled within the terms of the booking policy.
1.4. The Sales Agent agrees to be liable for the full Net Rate indicated in this Agreement for any reservation made by the Sales Agent in writing and confirmed by the Operator in writing.
1.5. The Operator reserves the right to reschedule or ‘re-book’ customers on an alternative product of equal or higher standard at no extra charge.
1.6. Notwithstanding the retail prices recorded in this agreement, the Operator reserves the right to change prices and to offer promotional pricing at its discretion.
1.7. Commission payable to the Agent for promotional products will be set by the Operator at the time of releasing the promotion.
1.8. Transfers will be provided free of charge by the Operator for customers staying in Thailand in Phuket and Khao Lak for trips
departing from Thap Lamu. Transfers outside this schedule; from Cape Panwa; and from Khao Lak when the boat departs from
Phuket will be subject to extra charge. Outside Thailand; transfers free of charge between boat and local hotels/ airport.
2. Booking Policy
2.1. Phone bookings are temporary and will be cancelled if not confirmed in writing within 48 hours.
2.2. Reservations cannot be held without confirmation in writing, by email or by fax, from the Agent.
2.3. The operator will issue an invoice after the booking has been confirmed.
2.4. To guarantee your bookings, payment must be received within the payment terms below.
We accept 30% nett deposit (non-refundable) within 7 days of the invoice date for bookings made more than 45 days
from trip departure date. Full payment is to be settled 45 DAYS before departure date.
2.5. If the Operator does not receive the balance in time, the Operator retains the right to cancel the booking and resell the spaces.
3. Cancellation and No Show Policy
3.1. Cancellations must be made in writing, by letter, fax or email.
3.2. Cancellation fee is 100% of net price for cancellations within 2 months of departure unless replacement booking is found.
4. Payment Terms
4.1. The Operator will select the appropriate terms from the options below:
Within 7 days of INVOICE date (not date received)
4.2. Payments by credit card (Visa and MasterCard) will be subjected to a bank surcharge
4.3. All prices for Thailand trips are in Thai Baht, Indonesia and Malaysia are in US Dollars & Singaporean dollars, Singapore trips are in
Singaporean dollars and include VAT. Agent wishing to make payment in foreign currency must contact us to ensure that the amount paid or transferred to our bank account is the correct amount as per the nett price by agreeing an exchange rate
4.4. Any bank fees or charges at the Agent’s bank must be paid for separately by the Agent.
4.5. Any bank fees or charges at the Operators’ bank as a result of a bank transfer from the Agent must be paid for separately by the Agent.
4.6. In the event of a shortfall due to foreign currency payment, the Agent must pay the shortfall before the reservation will be
